1. Acceptance of Terms

Welcome to TenderWatch. These Terms of Service ("Terms") govern your access to and use of the TenderWatch mobile application, website, and related services (collectively, the "Service") operated by Deep Forest Lab Pte Ltd ("we", "our", or "us").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

TenderWatch is a tender discovery and tracking platform that helps businesses find government tender opportunities. Our Service includes:

• Aggregation and display of publicly available tender information from government sources
• Search and filtering tools for tender discovery
• Bookmark and tracking features
• Push notifications for tender updates
• AI-powered analysis of tender requirements and qualifications
• Personalized tender recommendations based on your preferences

3. Account Registration

3.1 Eligibility

To use TenderWatch, you must:

• Be at least 18 years of age
• Have the authority to enter into these Terms (if acting on behalf of a company)
• Provide accurate and complete registration information
• Not have been previously banned from using our Service

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

• Interfere with or disrupt the Service, servers, or networks
• Reproduce, duplicate, copy, sell, or resell any part of the Service
• Use the Service to send spam, unsolicited messages, or harass others
• Impersonate any person, entity, or falsely state your affiliation
• Circumvent any access restrictions, rate limits, or security measures
• Upload or transmit viruses, malware, or other harmful code
• Collect or harvest user data without authorization

4.1 Prohibited Content

We actively cooperate with law enforcement agencies and will report any suspected illegal activity.

5. Tender Information

5.1 Information Accuracy

Tender information is sourced from official government portals and is provided "as is". You should always verify tender details, deadlines, and requirements directly with the issuing authority before making any business decisions or submitting any bids.

5.2 AI-Generated Analysis

Some tender information, including extracted requirements and qualifications, is processed using artificial intelligence. While we strive for accuracy, AI-generated content may contain errors. Always verify critical information with the original tender documents.

5.3 No Professional Advice

The Service does not provide legal, financial, or professional advice. Information displayed about tender requirements is for informational purposes only and should not be relied upon as a substitute for professional advice.

6. Subscription and Payment

6.1 Free and Paid Features

TenderWatch may offer both free and paid subscription tiers. The features available to you depend on your subscription level, as described in the app.

6.2 Payment Terms

If you subscribe to a paid plan:

• Payment is processed through the App Store (iOS) or Google Play (Android)
• Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
• Prices may change with reasonable notice; changes apply to subsequent billing periods
• Refunds are handled according to the respective app store's refund policies

6.3 Cancellation

You may cancel your subscription at any time through your app store account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of your billing period.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, features, code, and content (excluding tender data from government sources), is owned by Deep Forest Lab Pte Ltd and protected by intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, subject to these Terms.

7.3 Government Data

Tender information sourced from government portals remains subject to the terms and conditions of those original sources. We do not claim ownership of government-published tender data.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation to you.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any tender information will be accurate, complete, current, or reliable
• The Service will meet your specific requirements or expectations
• Any defects in the Service will be corrected
• AI-generated analysis will be free from errors

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEP FOREST LAB PTE LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM:

• Your use or inability to use the Service
• Reliance on any tender information provided through the Service
• Missed tender deadlines or unsuccessful tender submissions
• Errors in AI-generated content or analysis
• Unauthorized access to your account or data breach
• Any interruption, suspension, or cessation of the Service
• Any third-party conduct or content

Our total liability for any claims under these Terms shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) SGD 100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Deep Forest Lab Pte Ltd, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws

12. Termination

12.1 By You

You may terminate your account at any time by deleting your account through the app settings, using our account deletion page, or by contacting us.

12.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• We are required to do so by law
• We discontinue the Service
• We reasonably believe your conduct may harm us, other users, or third parties

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the revised Terms with an updated "Last Updated" date
• Sending you a notification through the app
• Requiring you to accept the new Terms before continuing to use the Service

Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service and delete your account.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Informal Resolution: Contact us first at legal@deepforestlab.com. We will attempt to resolve disputes informally within 30 days.
2. Mediation: If informal resolution fails, disputes may be submitted to mediation under the Singapore Mediation Centre
3. Courts: Either party may pursue claims in the courts of Singapore, which shall have exclusive jurisdiction

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Deep Forest Lab Pte Ltd regarding the Service
• Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right
• Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights without restriction.
• Force Majeure: We are not liable for any failure to perform due to circumstances beyond our reasonable control
• Headings: Section headings are for convenience only and do not affect interpretation
